CERTIFICATE OF LIMITED WARRANTY This Limited Warranty is given this ___ day of ___________, 2016 by ABM International, Inc., an Illinois corporation ("ABM") to _____________________________________________________, ("Purchaser"). Subject to the exclusions and limitations contained below, ABM warrants to Purchaser that the Innova Quilting Machine ("Machine") furnished hereunder is free from defects or fault in workmanship and material caused by the acts or omissions of ABM for the periods provided herein (collectively, "Warranty Period") from the date of sale of the Machine, subject to the terms and conditions set forth herein. EXCEPT AS EXPRESSLY PROVIDED HEREIN, ABM MAKES NO WARRANTIES, EXPRESS, OR IMPLIED, WITH RESPECT TO THE PRODUCTS SOLD. THIS LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OF ABM, EXPRESS OR IMPLIED, INCLUDING, BUT WITHOUT LIMITATION, THE IMPLIED WARRANTY OF MERCHANTABILITY, THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, THE IMPLIED WARRANTY OF HABITABILITY AND ANY AND ALL OTHER WARRANTIES ARISING FROM CUSTOM, USAGE, COURSE OF TRADE, STATUE OR CASE LAW AND INURES ONLY TO THE BENEFIT OF THE PURCHASER. This Limited Warranty is subject to the following terms, conditions, exclusions and limitations, all of which are made a part hereof:
1. WARRANTY PERIOD. (a) Five (5) Year Limited Manufacturer's Warranty. ABM warrants the sewing head and frame of the Machine is free from casting or machining imperfections causing product failure. This Limited Warranty does not extend to mechanical or electronic/electrical parts, which are governed under subparagraph 1(c) herein, or consequential damage caused by mechanical or electronic/electrical part failures beyond the applicable Warranty Period. (b) Five (5) Year Mechanical Parts Warranty. For any mechanical failure of the Machine during this Warranty Period, ABM will provide free replacement parts, excluding normal and customary wear and tear items. Purchaser shall pay all fees, charges and costs for labor and shipping at such then current and customary rates. (c) Five (5) Year Electronic/Electrical Warranty. The electronic/electrical components of the Machine are warranted to be free from manufacturing defects for five (5) years from the date of purchase of the Machine. If any defect appears in these parts within this Warranty Period, ABM will provide free replacement parts. Purchaser shall pay all fees, charges and costs for labor and shipping at such then current and customary rates. The five (5) year electronic/electrical warranty will be invalid if Purchaser does not keep the Machine unplugged from the power source when the Machine is not in use. In addition, the use of an ABM approved surge protector or uninterruptable power supply is also required.
2. NOTIFICATION PROCEDURES AND CORRECTION OF DEFECTS. (a) ABM shall not be obligated to remedy any defects when otherwise required by this Limited Warranty unless and until Purchaser has completed and delivers the machine registration card to ABM and provides written notice as required herein. Upon receiving the machine registration card ABM will mail an original signed copy of the Limited Warranty to the purchaser. Notwithstanding anything to the contrary herein, the Warranty Period shall not be extended by, nor does the term commence upon, the actual date of completion and delivery of the machine registration card. (b) Purchaser shall provide written notice to the ABM distributor or an authorized repair facility, or such other place that may be designated by ABM, of the claimed defect and related purchase order, and deliver the Machine freight prepaid to the ABM distributor or an authorized repair facility, or such other place that may be designated by ABM, at Purchaser's sole cost and expense. If the Machine is found to be defective, it will be returned to Purchaser via Fedex Freight or UPS Freight, or other similar commercial carriers, at Purchaser's expense. A Machine tested and proven to be non-defective is subject to service charges. (c) Provided ABM determines that the Machine is defective, ABM agrees to use reasonable diligence to remedy all defects which are covered by this Limited Warranty in a good and workmanlike manner in accordance with acceptable industry standards provided Purchaser has given ABM written notice of such defects during the Warranty Period. ABM shall endeavor to remedy such defects within thirty (30) days following notice or within a reasonable period of time thereafter if ABM shall be unable to complete such work within such thirty (30) day period due to unavoidable delays occasioned by strikes, material shortages, acts of God, adverse weather conditions and other matters not within the reasonable control of ABM. Expedited repair requests are subject to expediting fees, pursuant to ABM's then current and customary rates. (d) ABM's obligations under this Limited Warranty are limited to providing only replacement parts. Purchaser is responsible for all other costs, fees and expenses. Such costs, fees and expenses may include, but are not limited to: (i) labor charges for service, removal, repair or reinstallation of the Machine or any component part; and (ii) shipping, delivery, handling and administrative charges.
3. WARRANTY EXCLUSIONS AND LIMITATIONS. The following exclusions and limitations shall apply to this Limited Warranty: (a) All chips, cracks, scratches, mars or other like damages (including breakage or cracks) must be identified in the notice, or they shall not be covered by this Limited Warranty. (b) This Limited Warranty shall not cover ordinary wear and tear, normal deterioration, ordinary maintenance and repairs, damage due to misuse, neglect, vandalism, acts of God or nature, Purchaser's negligence or failure to provide proper maintenance, and/or damage due to any accident, including but not limited to, fire, explosion, smoke, water, windstorm, hail, lightning, flood and earthquake. (c) This Limited Warranty shall not cover electronic options added to the Machine such as Autopilot, Lightning Stitch, Ecording Multitech or Electric Lift. Please see individual Warranties for these specific electronic items. (d) THIS LIMITED WARRANTY SHALL NOT COVER ANY PART OR ITEM WHICH HAS BEEN MODIFIED OR REPAIRED BY PURCHASER OR ANY PARTY OTHER THAN ABM OR ANY ITEMS WHICH ARE INSTALLED OR CONSTRUCTED PURSUANT TO A SEPARATE CONTRACT OR AGREEMENT BETWEEN THE PURCHASER AND ANY PARTY OTHER THAN ABM. (e) ABM SHALL NOT BE RESPONSIBLE FOR ANY SECONDARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES CAUSED BY ANY DEFECT OR BREACH HEREOF, INCLUDING ANY DAMAGES TO FIXTURES OR PERSONAL PROPERTY AND BODILY INJURY. (f) No steps taken by ABM to correct defects shall act to extend the scope or duration of this Limited Warranty beyond the Warranty Period. No representative of ABM has the authority to expand or extend the scope or duration of this Limited Warranty or to make verbal agreements with respect thereto. All requests for corrections must be in writing and such notification must be made before the expiration of the Warranty Period. (g) This Limited Warranty shall not be assignable by Purchaser and any attempted assignment shall be null and void. (h) ABM shall take every reasonable precaution in packing the Machine to be returned, but ABM is not responsible for goods damaged or lost in transit. Purchaser must make and file any claims with the carrier. Risk of loss for the Machine shall pass at point of shipment, F.O.B. Houston, Texas.
4. NOTICES. Any notices hereunder shall be personally delivered or sent by certified U.S. Mail, postage prepaid, return receipt requested to the ABM factory repair facility or such other point or place that may be designated by ABM.
5. SEVERABILITY. The invalidity of any agreement, restriction, condition, reservation or any other provisions of this Limited Warranty shall not impair or affect in any manner the validity or effect of the remainder of this Limited Warranty. To receive this free multipoint inspection Purchaser must deliver or ship machine to ABM’s authorized repair facility. Purchaser pays for all shipping costs associated with repair shipment. 2. NOTIFICATION PROCEDURES AND CORRECTION OF DEFECTS. (a) ABM shall not be obligated to remedy any defects when otherwise required by this Limited Warranty unless and until Purchaser has completed and delivers the machine registration card to ABM and provides written notice as required herein. Upon receiving the machine registration card ABM will mail an original signed copy of the Limited Warranty to the purchaser. Notwithstanding anything to the contrary herein, the Warranty Period shall not be extended by, nor does the term commence upon, the actual date of completion and delivery of the machine registration card. (b) Purchaser shall provide written notice to the ABM distributor or an authorized repair facility, or such other place that may be designated by ABM, of the claimed defect and related purchase order, and deliver the Machine freight prepaid to the ABM distributor or an authorized repair facility, or such other place that may be designated by ABM, at Purchaser's sole cost and expense. If the Machine is found to be defective, it will be returned to Purchaser via Fedex Freight or UPS Freight, or other similar commercial carriers, at Purchaser's expense. A Machine tested and proven to be non-defective is subject to service charges. (c) Provided ABM determines that the Machine is defective, ABM agrees to use reasonable diligence to remedy all defects which are covered by this Limited Warranty in a good and workmanlike manner in accordance with acceptable industry standards provided Purchaser has given ABM written notice of such defects during the Warranty Period. ABM shall endeavor to remedy such defects within thirty (30) days following notice or within a reasonable period of time thereafter if ABM shall be unable to complete such work within such thirty (30) day period due to unavoidable delays occasioned by strikes, material shortages, acts of God, adverse weather conditions and other matters not within the reasonable control of ABM. Expedited repair requests are subject to expediting fees, pursuant to ABM's then current and customary rates. To receive this free multipoint inspection Purchaser must deliver or ship machine to ABM’s authorized repair facility. Purchaser pays for all shipping costs associated with repair shipment. All subsequent warranties include costs of parts only. (b) Ten (10) Year Limited Manufacturer's Warranty. ABM warrants the sewing head of the Machine is free from casting or machining imperfections causing product failure. This Limited Warranty does not extend to mechanical or electronic/electrical parts, which are governed under subparagraph 1(d) herein, or consequential damage caused by mechanical or electronic/electrical part failures beyond the applicable Warranty Period. (c) Ten (10) Year Mechanical Warranty. For any mechanical failure of the Machine during this Warranty Period, ABM will provide free replacement parts, excluding normal and customary wear and tear items. (c) This Limited Warranty shall not cover Personal Computers, Tablets, Touchpads or Touch Panel Computers provided by ABM. Please contact the responsible product manufacturer for their Warranty for these specific items. Merchandise covered by manufacturer’s warranty is sold with the warranty by the manufacturer extended to the purchases. Other than the manufacturers applicable manufacturer’s warranty, or as otherwise provided in these Terms & Conditions, there are no warranties, express or implied for any Computers, and we specifically disclaim any warranty of merchantability or fitness for a particular purpose. (d) THIS LIMITED WARRANTY SHALL NOT COVER ANY PART OR ITEM WHICH HAS BEEN MODIFIED OR REPAIRED BY PURCHASER OR ANY PARTY OTHER THAN ABM OR ANY ITEMS WHICH ARE INSTALLED OR CONSTRUCTED PURSUANT TO A SEPARATE CONTRACT OR AGREEMENT BETWEEN THE PURCHASER AND ANY PARTY OTHER THAN ABM. (e) ABM SHALL NOT BE RESPONSIBLE FOR ANY SECONDARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES CAUSED BY ANY DEFECT OR BREACH HEREOF, INCLUDING ANY DAMAGES TO FIXTURES OR PERSONAL PROPERTY AND BODILY INJURY. (f) No steps taken by ABM to correct defects shall act to extend the scope or duration of this Limited Warranty beyond the Warranty Period. No representative of ABM has the authority to expand or extend the scope or duration of this Limited Warranty or to make verbal agreements with respect thereto. All requests for corrections must be in writing and such notification must be made before the expiration of the Warranty Period. (g) This Limited Warranty shall not be assignable by Purchaser and any attempted assignment shall be null and void. (h) ABM shall take every reasonable precaution in packing the Machine to be returned, but ABM is not responsible for goods damaged or lost in transit. Purchaser must make and file any claims with the carrier. Risk of loss for the Electronics shall pass at point of shipment, F.O.B. Houston, Texas.
4. NOTICES. Any notices hereunder shall be personally delivered or sent by certified U.S. Mail, postage prepaid, return receipt requested to the ABM factory repair facility or such other point or place that may be designated by ABM.
5. SEVERABILITY. The invalidity of any agreement, restriction, condition, reservation or any other provisions of this Limited Warranty shall not impair or affect in any manner the validity or effect of the remainder of this Limited Warranty. 1. WARRANTY PERIOD. (a) One (1) Year Electronic/Electrical Warranty. The components of the Electronics are warranted to be free from manufacturing defects for one (1) years from the date of purchase of the Machine. If any defect appears in these parts within this Warranty Period, ABM will provide free replacement parts. Purchaser shall pay all fees, charges and costs for labor and shipping at such then current and customary rates. The one (1) year Electronics warranty will be invalid if Purchaser does not keep the Machine unplugged from the power source when the Machine is not in use. In addition, the use of an ABM approved surge protector or uninterruptable power supply is also required.
2. NOTIFICATION PROCEDURES AND CORRECTION OF DEFECTS. (a) ABM shall not be obligated to remedy any defects when otherwise required by this Limited Warranty unless and until Purchaser has completed and delivers the machine registration card to ABM and provides written notice as required herein. Upon receiving the machine registration card ABM will mail an original signed copy of the Limited Warranty to the purchaser. Notwithstanding anything to the contrary herein, the Warranty Period shall not be extended by, nor does the term commence upon, the actual date of completion and delivery of the machine registration card. (b) Purchaser shall provide written notice to the ABM distributor or an authorized repair facility, or such other place that may be designated by ABM, of the claimed defect, and deliver the Electronics freight prepaid to the ABM distributor or an authorized repair facility, or such other place that may be designated by ABM, at Purchaser's sole cost and expense. If the Electronics is found to be defective, it will be repaired or replaced and returned to Purchaser via Fedex Freight or UPS Freight, or other similar commercial carriers at Purchaser's expense. Any Electronics tested and proven to be non-defective is subject to service charges. (c) Provided ABM determines that the Electronics is defective, ABM agrees to use reasonable diligence to remedy all defects which are covered by this Limited Warranty in a good and workmanlike manner in accordance with acceptable industry standards provided Purchaser has given ABM written notice of such defects during the Warranty Period. ABM shall endeavor to remedy such defects within thirty (30) days following notice or within a reasonable period of time thereafter if ABM shall be unable to complete such work within such thirty (30) day period due to unavoidable delays occasioned by strikes, material shortages, acts of God, adverse weather conditions and other matters not within the reasonable control of ABM. Expedited repair requests are subject to expediting fees, pursuant to ABM's then current and customary rates. (d) ABM's obligations under this Limited Warranty are limited to providing only replacement parts. Purchaser is responsible for all other costs, fees and expenses. Such costs, fees and expenses may include, but are not limited to: (i) labor charges for service, removal, repair or reinstallation of the Electronics or any component part; and (ii) shipping, delivery, handling and administrative charges.
3. WARRANTY EXCLUSIONS AND LIMITATIONS. The following exclusions and limitations shall apply to this Limited Warranty: (a) All chips, cracks, scratches, mars or other like damages (including breakage or cracks) must be identified in the notice, or they shall not be covered by this Limited Warranty. Software warranty for autopilot, navigator and Pantovision
ABM INTERNATIONAL, INC. LIMITED WARRANTY AND LICENSE AGREEMENT SOFTWARE As used herein, “Software” shall mean the software program, and any updates and/or upgrades thereto made available to You by ABM International, Inc., an Illinois corporation (“ABM”). NOTICE TO USERS: YOU MUST AGREE TO ALL TERMS BELOW BEFORE YOU INSTALL OR USE THE SOFTWARE OR ANY FUTURE UPDATES TO THE SOFTWARE. IF YOU DO NOT AGREE TO ALL TERMS, DO NOT USE THIS SOFTWARE OR ANY UPDATES. BY INSTALLING OR USING THE SOFTWARE YOU ACCEPT ALL THE TERMS BELOW. This Software is licensed, not sold to You, and Your use of the Software is subject to the Warranty and Limitation of Liability set forth below and the terms of this Agreement. In purchasing this Software, You purchased the right to use the Software pursuant to the terms of this Agreement. LICENSE: Subject to the terms of this Agreement, ABM grants to You a revocable, non-exclusive, non-transferable, non-sublicensable limited license to use the Software on one (1) compatible computer or tablet. Except as permitted by this Agreement or applicable law You will not copy, reverse engineer, decompile, disassemble, translate, modify, adapt, create derivative works based on or from the Software, remove, obscure, or modify any proprietary notices, labels or marks on or contained in the Software, use the Software in a manner inconsistent with its design, distribute, lease, license, sell, rent, lend, convey or otherwise transfer or assign the Software, or make the Software available for use on the Internet, a server(s), network or the like by other persons or legal entities or on multiple computers at the same time. You may make a reasonable number of copies of the Software as backup copies as long as said copies contain all proprietary notices that appear on or are contained in the Software. You hereby acknowledge that no title or ownership in the Software is being transferred or assigned to You and this Agreement should not be construed as a sale of any rights in the Software. The Software is proprietary software and protected by intellectual property laws and international intellectual property treaties. Notwithstanding the above, You may make a onetime permanent transfer of all of Your license rights in and to the Software to another person or legal entity provided that: (a) You retain no copies of the Software, and (b) the receiving party or legal entity accepts the terms and conditions of this Agreement. WARRANTY: If You are the initial licensee under this Agreement, ABM warrants to You, to the extent the Software was made available to You on a USB Memory Stick physical storage medium, and DVD and that the original physical storage medium and DVD is free from manufacturing defects for [90] days from the date of purchase (“Software Storage Medium Warranty Period”). If applicable law in Your jurisdiction mandates a longer period of time than that set forth above, the length of the Software Storage Medium Warranty Period shall be amended to conform to applicable law. If You discover a defect in the original physical storage medium during the Software Storage Medium Warranty Period, ABM shall not be obligated to remedy any defects in the original physical storage medium and as required by this warranty unless and until You have completed and deliver a warranty registration card to ABM and provides written notice as required herein. You shall provide written notice to the ABM distributor, or such other place that may be designated by ABM, of the claimed defect, and deliver the original physical storage medium to the ABM distributor, or such other place that may be designated by ABM, at Your sole cost and expense. Upon receipt of the registration card, notice of defect, the original physical storage medium, and determination by ABM that the defect is not caused by normal wear and tear or by the events set forth herein, ABM shall replace said original physical storage medium and the Software contained thereon, free of charge. Replacement of the original physical storage medium shall not extend this warranty. This warranty shall not be applicable and shall be void if the defect or damage to the original physical storage medium was caused by misuse, neglect, vandalism, Your negligence, or damage caused by any accident, including but not limited to fire, explosion, smoke, water, lightening, power surges or spikes, floods or earthquakes. Any implied warranties prescribed by statute are expressly limited to the warranty described herein pursuant to applicable law. NOTWITHSTANDING THE ABOVEMENTIONED WARRANTY FOR THE ORIGINAL PHYSICAL STORAGE MEDIUM, AND TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ALL SOFTWARE IS SOLD “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS AND WITHOUT WARRANTIES, CONDITIONS, REPRESENTATIONS, GUARANTIES OR TERMS, EXPRESSED, IMPLIED OR STATUTORILY DERIVED, THAT THE SOFTWARE IS FREE OF ERROR, OR ARE CONSISTENT WITH ANY PARTICULAR STANDARD OF MERCHANTIBILITY, UNITERRUPTED USE, SATISFACTORY QUALITY, QUIET ENJOYMENT, NONINFRINGEMENT OF THIRD PARTY RIGHTS, WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE, OR THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS FOR ANY PARTICULAR APPLICATION. ABM DOES NOT WARRANT THAT SOFTWARE WILL INTEROPERATE OR BE COMPATIBLE WITH ANY OTHER SOFTWARE OR ERROR-FREE. ABM DOES NOT WARRANT THAT ANY SERVICE WILL CONTINUE TO BE MADE AVAILABLE OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. INSTALLATION OF THE SOFTWARE MAY AFFECT THE USABILITY OF THIRD PARTY SOFTWARE, APPLICATIONS, MACHINERY, EQUIPMENT OR SERVICES. THE SOFTWARE SHOULD NOT BE RELIED ON FOR SOLVING A PROBLEM WHOSE INCORRECT SOLUTION COULD RESULT IN INJURY TO A PERSON OR LOSS OF PROPERTY. IF YOU DO USE THE SOFTWARE IN SUCH A MANNER, IT IS AT YOUR OWN RISK. NO ORAL OR WRITTEN ADVICE PROVIDED BY ABM OR ANY AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY THE LAW IN THE APPLICABLE JURISDICTION. ABM’S AGGREGATE LIAIBLITY FOR DAMAGES, WILL BE LIMITED TO THE AMOUNT PAID BY YOU FOR USE OF THE SOFTWARE. UPDATES: By using an Update, You voluntarily terminate Your right to use any previous version of the Software. ABM may deliver Updates to You on different terms. EXPORT RULES: You shall not use or otherwise export or re-export the Software except as allowed by the laws, restrictions or regulations of the United States. TERMINATION: This Agreement will terminate automatically if You violate any of the terms and conditions set forth herein. In such event, You must destroy all copies of the Software and all of its component parts, and cease and desist from use of the Software. EQUITABLE REMEDIES: You acknowledge and agree that if You violate the terms of this Agreement, ABM will be irreparably damaged, therefore You agree that ABM shall be entitled, without bond, other security or proof of damages, to appropriate equitable remedies pursuant to applicable law, in addition to any other available remedies. GOVERNING LAW AND SEVERABILITY: This Agreement will be governed by and construed in accordance with the substantive laws of the State of Illinois, excluding its conflict of law principles. The representative courts of Lake County, shall each have non-exclusive jurisdiction over all disputes relating to this Agreement. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this Agreement shall continue in full force and effect. ABM CONTROL SYSTEM AND HARDWARE: ABM’s Encoder Interface Module or Robotics Systems are subject to a separate warranty that can be found at www.abminternational.com. COMPLETE AGREEMENT: This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written communications and understandings regarding this subject matter. No amendment or modification to this Agreement shall be binding unless in writing and signed by an authorized representative of ABM.
